MINUTES OF DEFENDANT'S MOTION FOR SUMMARY JUDGMENT AND/OR SUMMARY ADJUDICATION OF ISSUES AS TO PLAINTIFF'S COMPLAINT 22 held before Judge John A Kronstadt.The Court decides to treat the motion as though it had been properly filed as a motion to transfer or dismiss. Based on what has been presented to the Court, Plaintiff has not made a sufficient showing to justify the maintenance of the third cause of action in this Court in California. Therefore, the Court dismisses the third cause of action. The dismissal will take effect in 30 days to allow Plaintiff the opportunity to re-file that cause of action as a separate claim in New York as contemplated by the parties agreement. Such dismissal is not to take effect for 30 days to avoid any issue with the statute of limitations and so that the time period during which the action has been pending in both the Los Angeles Superior Court and the United States District Court will carry over without interruption. If the action is filed in New York within the next 30 days, it will be deemed to have been filed at the time the initial action was filed in the Los Angeles Superior Court. The Court is not persuaded that the first cause of action is controlled by the Stock Award Agreement or that the second cause of action is controlled by the forum selection clause in that same agreement. Therefore, the Court DENIES the motion with respect to the first and second causes of action. The denial is without prejudice to the Defendant bringing a motion supported by evidence under the discretionary factors governing a motion to transfer that addresses why the second cause of action would be more appropriately tried in a New York court.
